Terms of Service

1. Acceptance of Terms

By accessing or using the BizWithAfrica platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Platform on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms. If you do not agree to these Terms, you may not access or use the Platform.

2. Platform Description

BizWithAfrica is a trade operating system that provides infrastructure for cross-border business between the United States and Africa. The Platform provides verification, matching, deal structuring, compliance tools, escrow facilitation, and logistics tracking services.

Important: BizWithAfrica is a technology platform. We are not a party to the transactions between users. We do not buy, sell, import, export, store, or ship any goods. We provide infrastructure and tools that facilitate trade between verified parties.

3. Account Registration & Verification

To use the Platform, you must create an account and complete our verification process. You agree to:

  • Provide accurate, current, and complete information during registration and verification
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activities that occur under your account

Verification levels may vary by corridor and user type. We reserve the right to request additional documentation and to deny or revoke verification at our discretion.

4. Business Profiles

You are responsible for the accuracy and completeness of your business profile. Misrepresentation of business capabilities, certifications, product quality, trade history, or any other material information may result in immediate account suspension or termination. Profile information that is shared with other users through deal rooms or matching features is done so under your verified identity.

5. Transactions & Escrow

The Platform provides deal rooms and milestone-based escrow features to facilitate structured transactions between verified users.

  • BizWithAfrica facilitates escrow services but is not a bank, financial institution, or money transmitter.
  • Escrow funds are held by our licensed financial partners in segregated accounts.
  • Payments are released upon verification of agreed-upon milestones as defined in the deal room.
  • Transaction disputes are handled through our dispute resolution process outlined in Section 10.

6. Compliance

While BizWithAfrica provides compliance tools and automation to assist with regulatory requirements, each user is ultimately responsible for their own trade compliance. This includes but is not limited to:

  • Export controls and licensing requirements
  • Sanctions compliance (OFAC, EU, UN)
  • AGOA eligibility and documentation
  • Import/export duties and tariffs
  • Anti-money laundering and anti-corruption laws
  • Country-specific trade regulations in both the U.S. and relevant African markets

7. Prohibited Activities

You agree not to use the Platform to:

  • Engage in any trade of sanctioned, prohibited, or illegal goods
  • Misrepresent your identity, business, or trade capabilities
  • Circumvent verification or compliance checks
  • Engage in money laundering, fraud, or terrorist financing
  • Interfere with the Platform's operation, security, or other users' use of the service
  • Scrape, harvest, or collect information about other users without consent
  • Use the Platform for any purpose other than legitimate trade activities

8. Intellectual Property

The Platform, including its design, features, content, and underlying technology, is owned by BizWithAfrica and protected by intellectual property laws. You retain ownership of content you submit to the Platform. By submitting content, you grant BizWithAfrica a non-exclusive, worldwide license to use, display, and distribute that content as necessary to provide the Platform services.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

  • BizWithAfrica provides the Platform on an "as is" and "as available" basis without warranties of any kind.
  • We are not liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of the Platform or any transactions conducted through it.
  • Our total liability shall not exceed the fees paid by you to BizWithAfrica in the twelve months preceding the claim.
  • We do not guarantee the performance, reliability, or creditworthiness of any user on the Platform.

10. Dispute Resolution

Disputes between users arising from transactions on the Platform should first be resolved through the Platform's built-in dispute resolution tools. If Platform-mediated resolution is unsuccessful, disputes will be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association.

Disputes between you and BizWithAfrica regarding these Terms will be resolved through binding arbitration on an individual basis. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Platform and updating the effective date. Your continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms.
